Terms of use
1 General
These terms of use are accepted upon creation of a Bikekey account on our website or through partner applications.
We make the Website and its associated Services available to our users for the purpose of promoting cycling.
2. Creating and verifying a user
The purpose of the Website is ensured by allowing both private individuals and businesses that wish to use the Website and its associated Services to create a user account on the Website.
Private individuals must be verified through MitID, and businesses must be verified through the employee’s MitID in order to use the Services on the Website. You can read more about how we process personal data, including information related to verification, in our Privacy Policy.
You must be at least 13 years old to create a user account.
You can update your user information on your pages on the Website at any time, including updating contact information, etc. You are responsible for ensuring that your contact information is correct and up to date.
3. Scope and use of service
In accordance with these terms and conditions, the customer is granted a non-exclusive, unlimited right to use the www.bikekey.com bike register and selected additional modules (collectively the "Application"), which are made available online, solely for the purposes described by the application. The customer does not acquire the application or any copy or part thereof, but obtains the right to use the application.
Validation pursuant to clause 2.2 gives the customer the right to permanent use of the application to the extent specified for each product. If the customer needs additional capacity or functionality, the customer shall, upon using additional records, users or modules, or upon any acceptance by Bikekey ApS of a requested increase in records, users or modules, agree to pay for the upgrade at the current prices for such records, users and modules.
Only the customer and its advisors have the right to use the application, and the application may not be used for or on behalf of other parties or for data processing or the provision of services to parties other than the customer. The customer agrees to be fully responsible for any third parties who are given access to the application by the customer or who use the customer’s login details.
4. Prices and payment terms
Basic access to the Application is free for the Customer. However, certain features and extensions are subject to payment and require a purchase. Payment for these features is due upon purchase of the product or extension.
If payment for paid features is not made on time, access to these specific features may be blocked, while basic access to the Application remains available.
The Customer agrees that invoices and payment confirmations sent by email to the email address provided by the Customer are deemed delivered when they are sent by Bikekey ApS.
Prices and rates for paid features and upgrades can be found on Bikekey ApS's website and may be changed at the end of each calendar quarter with one month's notice.
5. Termination
When a user account is created, the user obtains permanent access. The user may choose not to use the application, but refunds and terminations are subject to the specific terms stated at the time of creation, or as described in the terms and conditions that apply to the specific service.
The user can have their data and user profile deleted by sending an email to support@bikekey.com and requesting deletion. The deletion request can only be made for the user profile linked to the email from which the request is sent, or if the user can otherwise document that they own the user data.
If your access to Bikekey is provided and paid for by a partner (e.g., an insurance company), Bikekey reserves the right to terminate your user profile with 30 days’ notice if we receive notice that your affiliation with the partner has ended. You will be contacted and given the opportunity to continue as a private user, if you wish.
6. User data
As between the parties, the User owns any data that the User provides to Bikekey ApS or the Application. The User is encouraged to maintain backup copies of their data.
Bikekey ApS reserves the right to delete the User’s data 90 days after the end of product support, if this is specifically stated in the terms for an add-on or other products. In all other cases, Bikekey ApS is not obligated to store the User’s data beyond 12 months after the User’s last interaction with the Application.
Bikekey ApS is entitled to retain the User’s data after termination in anonymized form solely for statistical and analytical purposes.
Bikekey ApS may disclose the User’s data to third parties and public authorities where, in Bikekey ApS’s assessment, such disclosure is justified and reasonable, e.g., to avoid loss of value, including in connection with court rulings, orders from authorities, the User’s bankruptcy, death or the like.
Sharing of information with insurance companies. Bikekey ApS may share the following information about you; (name, email, bike registration status, information about registered bikes and profile information) with the insurance companies that fully or partly cover the costs of your Bikekey products, for the purpose of administering your insurance agreement, including documentation of registration.
Notwithstanding clauses 5.2 and 6.2, Bikekey ApS reserves the right to retain registration and verification data after deletion of an account to the extent necessary for the documentation and investigation of fraud and police cases, in accordance with applicable data protection legislation. Such data is stored separately, is not used for other purposes and is disclosed only to the police or other relevant authorities upon request, or where required by law.
7. System stability and change
Bikekey ApS strives for the highest possible operational stability for this service, but is not liable for breakdowns or interruptions of the service, including interruptions caused by circumstances beyond Bikekey ApS’s control, such as power failures, defective equipment, internet connections, telecommunications connections or the like.
The Application and the service are provided "as is", and Bikekey ApS expressly disclaims any further representation, warranty, condition or other terms, express or implied, statutory or otherwise, including but not limited to implied warranties, conditions or other terms of satisfactory quality, fitness for a particular purpose or reasonable care and skill.
In the event of a service interruption, Bikekey ApS will use commercially reasonable efforts to restore normal operation as quickly as possible.
8. Intellectual property
The Application and any information provided by it, other than the User’s data, are protected by copyright and other intellectual property rights and belong to or are licensed to Bikekey ApS. Any development or adaptation of such intellectual property rights made by the User shall accrue to Bikekey ApS. The User shall inform Bikekey ApS of any actual or suspected infringement of Bikekey ApS’s intellectual property rights and of any unauthorized use of the Application that the User becomes aware of.
No intellectual property rights are transferred to the User.
For all material that the User uploads and all of the User’s data, the User grants Bikekey ApS, its suppliers and subcontractors a non-exclusive, worldwide, irrevocable license to provide the Application and related services, including marketing services, to the User. The User represents and warrants that no uploaded material or any User data will infringe third-party rights or intellectual property rights and will not contain material that is obscene, offensive, inappropriate or in violation of applicable law.
9. Assignment
Bikekey ApS is entitled to assign its rights and obligations regarding the User to an affiliated company or a third party.
The User accepts that Bikekey ApS is entitled to use subcontractors in all matters, including for the implementation and operation of the Application and the storage of the User’s data.
10. Bikekey ApS liability
Bikekey ApS disclaims all liability and cannot be held liable in contract, tort (including negligence), breach of statutory duty, pre-contractually or otherwise, arising out of or in connection with these Terms and Conditions or the Application for (a) consequential, indirect or special losses or damages; (b) loss of goodwill, reputation or data; or (c) economic losses (including loss of revenue, profits, contracts, business or anticipated savings), regardless of whether Bikekey ApS has been made aware of the possibility of such losses or damages, and however they arise.
Bikekey ApS is not responsible for third-party solutions that are available through and/or integrated with the Application. Accordingly, Bikekey ApS cannot be held liable for the accuracy, completeness, quality and reliability of the information or for the results obtained through the use of such third-party solutions. Furthermore, Bikekey ApS cannot be held liable for the availability, security or functionality of such third-party solutions, including for any damage and/or loss caused by such third-party solutions. The User is responsible for proving that a loss or damage suffered by the User is not due to third-party solutions.
Bikekey ApS's maximum liability in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with the Terms and Conditions or the Application, is, in relation to one or more events or a series of events (whether connected or not) within a period of twelve months, limited to the fees paid by the User in that period or DKK 500, whichever is greater.
The User undertakes to indemnify Bikekey ApS against any costs resulting from product liability losses, third-party losses or other third-party claims arising from the User’s use of the Application.
Nothing in this Agreement excludes or limits liability for death or personal injury or for fraud.
11. Confidentiality & data security
Bikekey ApS will only process the User’s data in accordance with the User’s instructions and not for its own unauthorized purposes.
Bikekey ApS will keep confidential all of the User’s confidential information that the User provides to Bikekey ApS, unless this information has become publicly available without breach of this clause, or if Bikekey ApS has received the information from a third party without a duty of confidentiality, or if the information is required to be disclosed by a regulatory or public authority or a competent court.
Bikekey ApS shall take all necessary technical and organizational security measures to ensure secure processing of all of the User’s data. Bikekey ApS shall comply with its obligations under the Data Protection Policy in accordance with the EU General Data Protection Regulation (GDPR) and the Danish Data Protection Act (databeskyttelsesloven, DPA) of 2018.
At the User’s request, Bikekey ApS will provide sufficient information to enable the User to ensure that the said technical and organizational measures have been taken. Bikekey ApS is entitled to charge the User for this work at its standard rates.
When the User provides information, usernames or passwords relating to a third party’s information feed or service to Bikekey ApS, the User warrants that the provision of such information or the integration of the Application with such third party’s information feed or service, as well as Bikekey ApS's storage and use of this information, will not violate the terms of that service or any other third-party rights. The User shall indemnify Bikekey ApS against any loss, damage, cost and expense arising from a breach of this clause.
12. Changes to terms and conditions
Bikekey ApS may update these Terms and Conditions from time to time. The current version of the Terms and Conditions will be available at all times on Bikekey ApS's website. Bikekey ApS will endeavor to give reasonable notice of any changes by publishing such changes on the website.
Continued use of the Application after a change to the Terms and Conditions is deemed to be acceptance of the amended Terms and Conditions. It is the User’s responsibility to check the website regularly to stay updated on any changes to these Terms and Conditions.
13. Disputes
These terms and conditions shall be construed in accordance with Danish law, and each party hereby irrevocably submits to the non-exclusive jurisdiction of the Danish courts.
14. Validity
These Terms and Conditions take effect on November 1, 2024, and replace all previous terms and conditions.
